一、《自由貿(mào)易試驗(yàn)區(qū)外商投資準(zhǔn)入特別管理措施（負(fù)面清單）》（以下簡(jiǎn)稱 《自貿(mào)試驗(yàn)區(qū)負(fù)面清單》）統(tǒng)一列出股權(quán)要求、高管要求等外商投資準(zhǔn)入方 面的特別管理措施，適用于自由貿(mào)易試驗(yàn)區(qū)。《自貿(mào)試驗(yàn)區(qū)負(fù)面清單》之外 的領(lǐng)域，按照內(nèi)外資一致原則實(shí)施管理。 1、 The Special Administrative Measures for foreign investment access in the pilot Free Trade Zone (negative list) (hereinafter referred to as the negative list of the pilot Free Trade Zone) uniformly lists the Special Administrative Measures for foreign investment access such as equity requirements and executive requirements, which are applicable to the pilot Free Trade Zone. Areas outside the negative list of the pilot Free Trade Zone shall be managed in accordance with the principle of consistency between domestic and foreign investment. 二、《自貿(mào)試驗(yàn)區(qū)負(fù)面清單》對(duì)部分領(lǐng)域列出了取消或放寬準(zhǔn)入限制的過(guò)渡 期，過(guò)渡期滿后將按時(shí)取消或放寬其準(zhǔn)入限制。 2、 The negative list of the pilot Free Trade Zone lists the transition period for canceling or relaxing access restrictions in some areas. After the transition period expires, the access restrictions will be canceled or relaxed on time. 三、境外投資者不得作為個(gè)體工商戶、個(gè)人獨(dú)資企業(yè)投資人、農(nóng)民專業(yè)合 作社成員，從事投資經(jīng)營(yíng)活動(dòng)。 3、 Foreign investors shall not engage in investment and business activities as individual industrial and commercial households, sole proprietorship investors and members of farmers' professional cooperatives. 四、有關(guān)主管部門在依法履行職責(zé)過(guò)程中，對(duì)境外投資者擬 投資《自貿(mào)試 驗(yàn)區(qū)負(fù)面清單》內(nèi)領(lǐng)域，但不符合《自貿(mào)試驗(yàn)區(qū)負(fù)面清單》規(guī)定的，不予 辦理許可、企業(yè)登記注冊(cè)等相關(guān)事項(xiàng)；涉及固定資產(chǎn)投資項(xiàng)目核準(zhǔn)的，不 予辦理相關(guān)核準(zhǔn)事項(xiàng)。投資有股權(quán)要求的領(lǐng)域，不得設(shè)立外商投資合伙企 業(yè)。 4、 In the process of performing their duties according to law, the relevant competent authorities shall not handle licensing, enterprise registration and other related matters for foreign investors who intend to invest in the fields in the negative list of the pilot Free Trade Zone, but do not comply with the provisions of the negative list of the pilot Free Trade Zone; if the approval of a fixed asset investment project is involved, the relevant approval matters shall not be handled. 五、經(jīng)國(guó)務(wù)院有關(guān)主管部門審核并報(bào)國(guó)務(wù)院批準(zhǔn)，特定外商投資可以不適 用《自貿(mào)試驗(yàn)區(qū)負(fù)面清單》中相關(guān)領(lǐng)域的規(guī)定。 5、Upon examination and approval by the relevant competent department of the State Council and submitted to the State Council for approval, the provisions in relevant fields in the negative list of pilot free trade zones may not apply to specific foreign investment. 六、境內(nèi)公司、企業(yè)或自然人以其在境外合法設(shè)立或控制的公司并購(gòu)與其 有關(guān)聯(lián)關(guān)系的境內(nèi)公司，按照外商投資、境外投資、外匯管理等有關(guān)規(guī)定 辦理。 6、 Domestic companies, enterprises or natural persons who legally establish or control companies abroad to merge and acquire domestic companies associated with them shall be handled in accordance with the relevant provisions on foreign investment, overseas investment, foreign exchange management and so on. 七、《自貿(mào)試驗(yàn)區(qū)負(fù)面清單》中未列出的文化、金融等領(lǐng)域與行政審批、資 質(zhì)條件、國(guó)家安全等相關(guān)措施，按照現(xiàn)行規(guī)定執(zhí)行。 7、 Measures related to administrative examination and approval, qualification conditions, national security and other fields such as culture and finance not listed in the negative list of the pilot Free Trade Zone shall be implemented in accordance with the current regulations. 八、《內(nèi)地與香港關(guān)于建立更緊密經(jīng)貿(mào)關(guān)系的安排》及其后續(xù)協(xié)議、《內(nèi)地 與澳門關(guān)于建立更緊密經(jīng)貿(mào)關(guān)系的安排》及其后續(xù)協(xié)議、《海峽兩岸經(jīng)濟(jì)合 作框架協(xié)議》及其后續(xù)協(xié)議、我國(guó)締結(jié)或者參加的國(guó)際條約、協(xié)定對(duì)境外 投資者準(zhǔn)入待遇有更優(yōu)惠規(guī)定的，可以按照相關(guān)規(guī)定執(zhí)行。 8、 If the international treaties and agreements concluded or acceded to by China such as Mainland and Hong Kong Closer Economic Partnership Arrangement and its subsequent agreements, Mainland and Macao Closer Economic and Partnership Arrangement and its subsequent agreements, Cross Strait Economic Cooperation Framework Agreement and its subsequent agreements, have more preferential provisions on the access treatment of foreign investors, they may be implemented in accordance with the relevant provisions. 九、《自貿(mào)試驗(yàn)區(qū)負(fù)面清單》由國(guó)家發(fā)展改革委、商務(wù)部會(huì)同有關(guān)部門負(fù)責(zé) 解釋。 9、 The negative list of the pilot Free Trade Zone shall be interpreted by the national development and Reform Commission and the Ministry of Commerce in conjunction with relevant departments. 03

三、制造業(yè) 3、 Manufacturing 除專用車、新能源汽車、商用車外，汽車整車制造的中方股比不低于50%，同一家 外商可在國(guó)內(nèi)建立兩家及兩家以下生產(chǎn)同類整車產(chǎn)品的合資企業(yè)。（2022 年取消乘 5 用車制造外資股比限制以及同一家外商可在國(guó)內(nèi)建立兩家及兩家以下生產(chǎn)同類整車 產(chǎn)品的合資企業(yè)的限制） In addition to special purpose vehicles, new energy vehicles and commercial vehicles, the Chinese share ratio of vehicle manufacturing shall not be less than 50%. 國(guó)內(nèi)水上運(yùn)輸公司須由中方控股。（且不得經(jīng)營(yíng)或租用中國(guó)籍船舶或者艙位等方式變相 經(jīng)營(yíng)國(guó)內(nèi)水路運(yùn)輸業(yè)務(wù)及其輔助業(yè)務(wù)；水路運(yùn)輸經(jīng)營(yíng)者不得使用外國(guó)籍船舶經(jīng)營(yíng)國(guó)內(nèi) 水路運(yùn)輸業(yè)務(wù)，但經(jīng)中國(guó)政府批準(zhǔn)，在國(guó)內(nèi)沒有能夠滿足所申請(qǐng)運(yùn)輸要求的中國(guó)籍船 9 舶，并且船舶?？康母劭诨蛘咚?yàn)閷?duì)外開放的港口或者水域的情況下，水路運(yùn)輸經(jīng) 營(yíng) 者 可 以 在 中 國(guó) 政 府 規(guī) 定 的 期 限 或 者 航 次 內(nèi) ， 臨 時(shí) 使 用 外 國(guó) 籍 船 舶 經(jīng) 營(yíng) 中國(guó)港口之間 的海上運(yùn)輸和拖航。） Domestic water transport companies must be controlled by the Chinese party.(and shall not operate or charter Chinese ships or shipping spaces in disguised form to operate domestic waterway transportation business and its auxiliary business; waterway transportation operators shall not use foreign ships to operate domestic waterway transportation business, but with the approval of the Chinese government, there is no Chinese ship in China that can meet the transportation requirements applied for, and the port or water area where the ship stops is foreign in the case of open ports or waters, waterway transport operators may temporarily use ships of foreign nationality to operate maritime transport and towing between Chinese ports within the time limit or voyage specified by the Chinese government.) 公共航空運(yùn)輸公司須由中方控股，且一家外商及其關(guān)聯(lián)企業(yè)投資比例不得超 10 過(guò) 25%，法定代表人須由中國(guó)籍公民擔(dān)任。通用航空公司的法定代表人須由中國(guó)籍 公民擔(dān)任，其中農(nóng)、林、漁業(yè)通用航空公司限于合資，其他通用航空公司限于中方控 股 。（ 只 有 中 國(guó) 公 共 航 空 運(yùn) 輸 企 業(yè) 才 能 經(jīng) 營(yíng) 國(guó) 內(nèi) 航 空 服 務(wù) ，并 作 為 中 國(guó) 指 定 承 運(yùn) 人 提供 定期和不定期國(guó)際航空服務(wù)。） A public air transport company shall be controlled by the Chinese party, and the investment proportion of a foreign company and its affiliated enterprises shall not exceed 25%, and the legal representative shall be a Chinese citizen. 11 民用機(jī)場(chǎng)的建設(shè)、經(jīng)營(yíng)須由中方相對(duì)控股。外方不得參與建設(shè)、運(yùn)營(yíng)機(jī)場(chǎng)塔臺(tái)。 The construction and operation of civil airports shall be controlled by the Chinese party. The foreign party shall not participate in the construction and operation of airport towers. 12 禁止投資郵政公司（和經(jīng)營(yíng)郵政服務(wù)）、信件的國(guó)內(nèi)快遞業(yè)務(wù)。 It is prohibited to invest in domestic express business of postal companies and letters. 七、信息傳輸、軟件和信息技術(shù)服務(wù)業(yè) 7、 Information transmission, software and information technology services 電 信 公 司 ：限 于 中 國(guó) 入 世 承 諾 開 放 的 電 信 業(yè) 務(wù) ，增 值 電 信 業(yè) 務(wù) 的 外 資 股 比 不 超 過(guò) 50%（電子商務(wù)、國(guó)內(nèi)多方通信、存儲(chǔ)轉(zhuǎn)發(fā)類、呼叫中心除外），基礎(chǔ)電信業(yè)務(wù)須 由 13 中方控股（且經(jīng)營(yíng)者須為依法設(shè)立的專門從事基礎(chǔ)電信業(yè)務(wù)的公司）。上海自貿(mào)試驗(yàn)區(qū) 原有區(qū)域〔28.8 平方公里〕試點(diǎn)政策推廣至所有自貿(mào)試驗(yàn)區(qū)執(zhí)行。 Telecom companies: limited to the telecom services promised to be opened by China's accession to the WTO, the foreign share ratio of value-added telecom services shall not exceed 50% (except e-commerce, domestic multi-party communication, storage and forwarding and call center), and the basic telecom services shall be controlled by China.(and the operator must be a legally established company specializing in basic telecommunications business). 禁止投資各級(jí)廣播電臺(tái)（站）、電視臺(tái)（站）、廣播電視頻道（率）、廣播電視傳輸覆蓋 網(wǎng)（發(fā)射臺(tái)、轉(zhuǎn)播臺(tái)、廣播電視衛(wèi)星、衛(wèi)星上行站、衛(wèi)星收轉(zhuǎn)站、微波站、監(jiān)測(cè)臺(tái)及 26 有線廣播電視傳輸覆蓋網(wǎng)等），禁止從事廣播電視視頻點(diǎn)播業(yè)務(wù)和衛(wèi)星電視廣播地面接 收設(shè)施安裝服務(wù)。（對(duì)境外衛(wèi)星頻道落地實(shí)行審批制度。） It is prohibited to invest in radio stations, television stations, radio and television channels (rates), radio and television transmission coverage networks (transmitting stations, broadcasting stations, radio and television satellites, satellite uplink stations, satellite receiving and transferring stations, microwave stations, monitoring stations and cable radio and television transmission coverage networks, etc.) at all levels.
