說明：飛天，是佛教中干闥婆和緊那羅化身。干闥婆，

意譯為天歌神，緊那羅，意譯為天樂神。原是古

印度神話中娛樂神和歌舞神，被佛教吸收為八部

天龍，后演化成為飛天造型。

此件玉雕飛天動感強烈，飛翔之態(tài)逼真，雕工寫

意，尺寸雖小，卻見大氣象，具有“霓裳曳廣

帶，飄浮升天行”之意境。玉雕飛天傳世品在

故宮博物院和上海博物館均有不少收藏，一般以

說明：如意以紅木為柄，呈三彎折狀，背部起線，簡約素雅，線條流暢，以白玉雕佛教八寶

翎管為清代官吏禮帽上用來固定翎子之用，多用玉、翠制成，用以安插翎羽。此翎管

Article 1

The lots, which are marked under the bonded status in the

catalogue, are from Hong Kong, Macau, Taiwan or regions

outside the Chinese mainland. When they are imported to the

Customs territory of China, the Buyer will have to pay import

tariffs and other related taxes according to the applicable

Chinese laws. If not imported to the Customs territory of China,

the Buyer will not have to pay related taxes. The buyer will be

responsible for applying for all permits of importing bonded

lots, which are subject to the requirements of the relevant

national departments. Any explanation and instruction of above

permits provided by the Company and staff does not guarantee

to get above permits successfully. The buyer cannot delay

payment or cancel the deal because of failing to get permits or

All other matters related to bonded lots are executed in

accordance with the Company's Conditions of Business and

SPECIAL NOTICE ON AUCTION OF BONDED LOTS

第一章? 總則

第一條：規(guī)則之制定

本規(guī)則依據(jù)《中華人民共和國拍賣法》及其它有關(guān)法

律、法規(guī)、國際慣例而制定。

第二條：規(guī)則名詞之定義

本規(guī)則各條款中，下列詞語的定義為：

(一)“中漢”系指北京中漢拍賣有限公司；

(二)“競買人”系指根據(jù)中國法律規(guī)定及本規(guī)則約定

在中漢舉辦的拍賣活動中登記并辦理了必要手續(xù)，參

加競買拍賣品的自然人、法人或其它組織。競買人應(yīng)

當具備中國法律、法規(guī)規(guī)定的買受拍賣品的資格和條

件。本規(guī)則中，除非另有說明或根據(jù)文義特殊需要，

競買人均包括競買人的代理人；

(三)“買受人”系指在中漢舉辦的拍賣活動中以最高

應(yīng)價購得拍賣品的競買人；

(四)“委托人”系指委托中漢拍賣拍賣品的自然人、

法人或者其它組織。本規(guī)則中，除非另有說明或根據(jù)

文義特殊需要，委托人均包括委托人的代理人；

(五)“拍賣品”系指委托人合法交予中漢拍賣的物

品；

(六)“拍賣日”系指在某次拍賣活動中，中漢公布的

正式進行拍賣交易之日。若公布的拍賣日與實際拍賣

日不一致，則以實際拍賣日為準；

(七)“拍賣成交日”系指在中漢舉辦的拍賣活動中，

拍賣師以落槌或其它公開表示買定的方式確認拍賣品

成交的日期；

(八)“落槌價”系指拍賣師落槌決定將拍賣品售予買

受人的價格；

(九)“出售收益”系指支付給委托人的款項凈額，該

凈額為落槌價減去按比率計算的傭金、各項費用及委

托人應(yīng)支付中漢的其它款項後的余額；

(十)“購買價款”系指買受人因購買拍賣品而應(yīng)支付

的包括落槌價、全部酬金、應(yīng)由買受人支付的其它各

項費用以及因買受人不履行義務(wù)而應(yīng)當支付的所有費

用在內(nèi)的總和；

(十一)“各項費用”系指中漢對拍賣品進行保險、制

作拍賣品圖錄及其它形式的宣傳品、包裝、運輸、保

管等所收取的費用以及依據(jù)相關(guān)法律、法規(guī)或本規(guī)則

約定而收取的其它費用；

(十二)“保留價”系指委托人提出并與中漢協(xié)商後書

面確定的拍賣品最低的售價；

(十三)“參考價”系指在拍賣品圖錄或其它介紹說明

文字中標明的拍賣品估計售價，并非實際售價。

第三條：規(guī)則適用范圍

中漢在中華人民共和國法律和政策允許的范圍內(nèi)，組

織和進行拍賣活動。凡參加中漢組織的拍賣活動的當

事人各方，包括中漢、委托人、競買人、買受人和其

它相關(guān)各方(包括但不限于委托人、競買人、買受人

的代理人)，均應(yīng)視為完全接受本規(guī)則條款的約定，受

本規(guī)則約束，在中漢組織的拍賣活動中遵守本規(guī)則的

規(guī)定，享有本規(guī)則規(guī)定的權(quán)利，承擔本規(guī)則規(guī)定的義

務(wù)。

在中漢組織的拍賣活動中競投的競買人，無論是自己

親自出席或者由代理人出席競投，無論是以在拍賣活

動中舉牌競投，還是以書面、電話、網(wǎng)絡(luò)或任何其它

方式競投，均被視為完全接受本規(guī)則。

參加中漢組織的拍賣活動的當事人各方之間發(fā)生的各

種爭議，均應(yīng)按照本規(guī)則的規(guī)定加以解決。

第四條：有限責任

中漢對拍賣品的真?zhèn)渭?或質(zhì)量不承擔瑕疵擔保責任。

中漢對拍賣品的任何描述、說明、意見，僅供競買人

及/或其代理人參考，在任何情況下均不構(gòu)成對拍賣品

真?zhèn)渭?或質(zhì)量的保證或擔保。

所有拍賣品均以拍賣時的狀態(tài)出售。因此，競買人及/

或其代理人應(yīng)當親自或委托專家審看拍賣品原物，并

對自己所競投某拍賣品的行為承擔法律責任。

任何競買人在中漢組織的拍賣活動中參與競投的行

為，應(yīng)被視為該競買人對其準備競投的拍賣品的真

偽、質(zhì)量等情況已經(jīng)進行全面的檢驗和評估，對該拍

賣品的現(xiàn)狀和價值感到滿意。競買人參與競投的行為

表明其愿意承擔因此可能遇到的各種風險，并已放棄

對該拍賣品的真?zhèn)渭?或質(zhì)量提出異議的權(quán)利。

第五條：特別提示

在中漢舉辦的拍賣活動中，競買人的應(yīng)價經(jīng)拍賣師落

槌或者以其它公開表示買定的方式確認時，即表明關(guān)

于拍賣品的買賣合同關(guān)系已合法生效，該競買人即成

為該拍賣品的買受人。成交確認書的簽署與否不影響

拍賣品買賣合同已經(jīng)合法成立并生效的事實。中漢、

委托人及買受人均應(yīng)承認拍賣品已出賣、成交的事

實，并享有法律規(guī)定及本規(guī)則約定的權(quán)利，承擔法律

規(guī)定和本規(guī)則約定的義務(wù)。任何一方不履行義務(wù)的，

均應(yīng)承擔相應(yīng)的法律責任。

凡參加中漢拍賣活動的委托人、競買人、買受人和其

它相關(guān)各方務(wù)請仔細閱讀并遵守本規(guī)則，對自己參加

中漢拍賣活動的行為負責。如因未仔細閱讀本規(guī)則而

引發(fā)的任何損失或責任均由行為人自行承擔。

中漢可以通過在拍賣會場張貼公告或者通過拍賣師在

拍賣會上宣布的方式對本規(guī)則進行修改。通過上述方

式對本規(guī)則作出的修改，應(yīng)當優(yōu)先適用。

第二章? 中漢的誠信承諾

第六條：中漢的誠信承諾

中漢依據(jù)中華人民共和國法律合法成立，并以誠信經(jīng)

營為公司的基本理念。中漢承諾在組織拍賣活動中和

公司經(jīng)營的其它相關(guān)活動中，誠信對待委托人、競買

人、買受人和其它相關(guān)各方。

中漢對與拍賣活動有關(guān)的事項作出下列具體承諾：

(一)中漢保證按本規(guī)則約定和本行業(yè)通行的標準妥善

保管委托人交付之拍賣品；保證按照本規(guī)則的約定將

未上拍或未成交拍賣品原物返還給委托人；

(二)中漢將以合理審慎的態(tài)度對拍賣品進行自己的審

查和判斷，并在圖錄、相關(guān)說明資料中陳述自己對拍

賣品的意見。但中漢對拍賣品的任何陳述、意見并不

在任何形式上構(gòu)成對拍賣物的質(zhì)量、真?zhèn)?、年代、?/p>

者及其它任何信息的任何保證、擔保；

(三)中漢承諾在拍賣活動結(jié)束後按本規(guī)則約定妥善保

管買受人競買成功之拍賣品，在拍賣品毀損滅失的風

險依照本規(guī)則約定轉(zhuǎn)移給買受人之前，拍賣品如有任

何損毀或損失，中漢將以買受人已經(jīng)支付的買入價為

限對買受人承擔賠償責任。中漢保證交付給買受人的

拍賣品是拍賣時展示的同一物；

(四)即使按本規(guī)則約定拍賣品之毀損滅失風險已經(jīng)轉(zhuǎn)

移給委托人或買受人，中漢仍會妥善保管委托人未按

期取回或買受人未按期領(lǐng)取的拍賣品。但中漢的此項

誠信行為并不表示中漢承認其對此種拍賣品負有任何

保管義務(wù)，拍賣品之毀損滅失風險及中漢保管費用均

應(yīng)適用本規(guī)則下文的相關(guān)約定處理；

(五)中漢承諾，尊重并且不會損害委托人、買受人對

拍賣品依法享有的著作權(quán)。中漢在制作、使用拍賣品

的照片、圖示、圖錄或其它形式的影像制品時，將嚴

格遵守法律和本規(guī)則的規(guī)定。但是，中漢并不就拍賣

品是否受到任何著作權(quán)限制、買受人是否享有拍賣品

的著作權(quán)發(fā)表意見或提供保證。

第三章? 關(guān)于委托人

第七條：委托程序

委托人委托中漢拍賣其物品時：

(一)委托人若為自然人，必須持有效身份證明并與中

漢簽訂委托拍賣合同；

(二)委托人若為法人或其它組織的，應(yīng)持有效注冊登

記證書、法定代表人身份證明、授權(quán)委托書和代理人

身份證明文件，并與中漢簽訂委托拍賣合同；

(三)委托人與中漢簽訂委托拍賣合同時，即自動授權(quán)

中漢對拍賣品自行制作照片、圖示、圖錄或其它形式

的影像制品。

第八條：委托人之代理人

代理委托人委托中漢拍賣物品的，應(yīng)向中漢出具相關(guān)

委托證明文件。包括：

(一)若為自然人的，必須持有效身份證明；

(二)委托人的代理人若為法人或者其它組織的，須持

有效注冊登記證書、法定代表人身份證明、該法人或

者其它組織向該法人或者其它組織的代理人(自然人)

出具的授權(quán)委托書和該代理人(自然人)的身份證明文

件；

(三)委托人經(jīng)合法程序向其代理人作出的授權(quán)委托

書。

中漢有權(quán)對上述相關(guān)文件以合法的方式進行核查。

第九條：委托人之保證

委托人就其委托中漢拍賣的拍賣品不可撤銷地向中漢

及買受人保證如下：

(一)其對該拍賣品擁有所有權(quán)或享有合法的處分權(quán)，

對該拍賣品的拍賣不會侵害任何第三方的合法權(quán)益(包

括著作權(quán)權(quán)益)，亦不違反相關(guān)法律、法規(guī)的規(guī)定；

(二)其已盡其所知，就該拍賣品的來源和瑕疵向中漢

進行了全面、詳盡的披露和說明，不存在任何隱瞞或

虛構(gòu)之處；

(三)如果其違反上述保證，造成拍賣品的實際所有權(quán)

人或聲稱擁有權(quán)利的任何第三人提出索賠或訴訟，致

使中漢及/或買受人蒙受損失時，委托人應(yīng)負責賠償中

漢及/或買受人因此所遭受的一切損失，并承擔因此而

發(fā)生的一切費用和支出，包括但不限于中漢及/或買受

人支出的律師費、調(diào)查費用、訴訟費等。

第十條：保留價

除中漢與委托人約定無保留價的拍賣品外，所有拍賣

品均設(shè)有保留價。保留價由中漢與委托人通過協(xié)商書

面確定。保留價數(shù)額一經(jīng)雙方確定，其更改須事先征

得對方同意。

經(jīng)委托人委托之拍賣品如未能在拍賣活動中成交，中

漢有權(quán)以其保留價在該次拍賣活動後出售，委托人須

向中漢支付傭金。

在任何情況下，中漢不對某一拍賣品在中漢舉辦的拍

賣活動中未達保留價不成交而承擔任何責任。

第十一條：中漢的決定權(quán)

中漢對下列事宜擁有完全的決定權(quán)：

(一)通過拍賣品圖錄及/或新聞媒體及/或其它載體對任

拍賣規(guī)則

何拍賣品做任何內(nèi)容說明及/或評價；

(二)是否應(yīng)征詢?nèi)魏螌＜乙庖姡?/p>

(三)拍賣品在圖錄、展覽或其它形式的宣傳、推廣活動

中的安排及所應(yīng)支付費用的標準；

(四)某一拍賣品是否適合中漢拍賣；

(五)拍賣日期、拍賣地點、拍賣條件及拍賣方式等事

宜。

第十二條：未上拍拍賣品

委托人與中漢簽訂委托拍賣合同且將拍賣品交付中漢

後，若因任何原因致使中漢認為某拍賣品不適合由中

漢拍賣的，則委托人應(yīng)自中漢向委托人發(fā)出領(lǐng)回通知

之日(含通知日)起十四日內(nèi)于中漢指定地點取回該拍

賣品(包裝及搬運等費用由委托人自負)，中漢與委托

人之間的委托拍賣合同自委托人領(lǐng)取該拍賣品之日解

除。若委托人未在上述期限內(nèi)取走拍賣品，則中漢與

委托人之間的委托拍賣合同自有效期限屆滿之日即告

解除。若委托人在委托拍賣合同解除後七日內(nèi)仍未取

走拍賣品的，則中漢有權(quán)以中漢認為合理的方式處置

該拍賣品，處置所得在扣除中漢因此產(chǎn)生之全部費用

後，若有余款，由委托人自行取回。

第十三條：拍賣中止

如出現(xiàn)下列情況之一，中漢有權(quán)在實際拍賣前的任何

時間中止任何拍賣品的拍賣活動：

(一)中漢對拍賣品的權(quán)屬或真?zhèn)斡幸闪x；

(二)第三人對拍賣品的權(quán)屬或真?zhèn)纬钟挟愖h且能夠提

供異議所依據(jù)的相關(guān)證據(jù)材料，并按照中漢規(guī)定交付

擔保金，同時愿意對中止拍賣活動所引起的法律後果

及全部損失承擔相應(yīng)責任；

(三)中漢及/或第三人對委托人所作的說明或?qū)Ρ疽?guī)則

第九條所述委托人保證的準確性持有異議；

(四)有證據(jù)表明委托人已經(jīng)違反或?qū)⒁`反本規(guī)則的

任何條款。

第十四條：委托人撤回拍賣品

委托人在拍賣日前任何時間，均可向中漢發(fā)出書面通

知，撤回其拍賣品。但撤回拍賣品時，若該拍賣品已

列入圖錄或其它宣傳品且已開始印刷，則委托人應(yīng)向

中漢支付相當于該拍賣品保險金額百分之二十的款項

及其它各項費用。如圖錄或其它宣傳品尚未印刷，也

需支付相當于該拍賣品保險金額百分之十的款項及其

它各項費用。因委托人撤回拍賣品而引起的任何爭議

或索賠均由委托人自行承擔。如果因為委托人撤回拍

賣品而使中漢受到任何第三人索賠，中漢有權(quán)向委托

人追索因此造成的全部損失及支出的一切費用。

第十五條：自動受保

除委托人與中漢另有約定外，在委托人與中漢簽訂委

托拍賣合同并將拍賣品交付中漢後，所有拍賣品將自

動受保于中漢的保險，保險金額以中漢與委托人在委

托拍賣合同中確定的保留價為準(無保留價的，以該拍

賣品的約定的保險金額為準；調(diào)整拍賣保留價的，以

該拍賣品原保留價為準)。此保險金額只適用于保險和

索賠，并非中漢對該拍賣品價值的保證或擔保，也不

意味著該拍賣品由中漢拍賣，即可售得相同于該保險

金額之款項。

第十六條：保險費

拍賣成交後，除非委托人與中漢另有約定，委托人應(yīng)

向中漢支付相當于落槌價百分之一的保險費。如拍賣

品未成交，委托人也應(yīng)向中漢支付相當于保留價百分

之一的保險費。

第十七條：保險期間

如果拍賣品拍賣成交，保險期限至拍賣成交日(含成

交日)起第三十日下午4點或買受人領(lǐng)取拍賣品之時終

止(以先到者為準)。如果拍賣品未上拍或拍賣未能成

交，則保險期限至中漢向委托人發(fā)出領(lǐng)回拍賣品的通

知之日(含通知日)起第十四日下午4點為止。

第十八條：委托人安排保險

如委托人以書面形式告知中漢不需投保其拍賣品，則

其拍賣品毀損或滅失的風險由委托人自行承擔。同

時，委托人還應(yīng)承擔以下責任：

(一)對其他任何權(quán)利人就拍賣品的毀損、滅失向中漢提

出的索賠或訴訟做出賠償；

(二)賠償中漢及/或任何他方因任何原因造成拍賣品毀

損、滅失等所遭受的全部損失及所支出的全部費用；

(三)將本條所述的賠償約定通知該拍賣品的任何承保

人。

第十九條：不可抗力免責

因自然磨損、固有瑕疵、內(nèi)在或潛在缺陷、物質(zhì)本身

變化、自燃、自熱、氧化、銹蝕、滲漏、鼠咬、蟲

蛀、大氣(氣候或氣溫)變化、濕度或溫度轉(zhuǎn)變或其它

漸變原因以及因地震、海嘯、戰(zhàn)爭、敵對行為、武裝

沖突、恐怖活動、政變、罷工、社會騷亂等不可抗力

及核輻射、放射性污染對拍賣品造成的任何損毀、滅

失，以及由于任何原因造成框架或玻璃、囊匣、底

墊、支架、裝裱、插冊、軸頭或類似附屬物的毀損、

滅失，不在中漢的保險理賠范圍之內(nèi)，中漢亦無需承

擔任何賠償責任。

第二十條：保險賠償

凡屬因中漢為拍賣品所購保險承保范圍內(nèi)的事件或災(zāi)

害所導(dǎo)致的拍賣品毀損、滅失，應(yīng)根據(jù)中華人民共和

國有關(guān)保險的法律和規(guī)定處理。中漢在向保險公司進

行理賠并獲得保險賠償後，將保險賠款扣除中漢費用

的余款支付給委托人。

第二十一條：競投禁止

委托人不得競投自己委托中漢拍賣的物品，也不得委

托他人代為競投。若違反本條約定，委托人應(yīng)自行承

擔相應(yīng)之法律責任，并賠償因此給中漢造成的全部損

失。

第二十二條：傭金及費用

除委托人與中漢另有約定外，委托人授權(quán)中漢按落槌

價之百分之十扣除傭金，同時另扣除其它各項費用、

稅費及其它中漢因拍賣活動支出的成本費用。

委托人同意中漢可根據(jù)本規(guī)則第四十八條的約定，向

買受人收取酬金及其它各項費用。

第二十三條：未成交手續(xù)費

如果某拍賣品的競投價低于保留價而未能成交，則委

托人同意向中漢支付未拍出手續(xù)費及其它各項費用。

未拍出手續(xù)費的標準為該拍賣品保留價的百分之三。

無保留價的，為該拍賣品的保險金額的百分之三。

第二十四條：出售收益支付

如買受人已按本規(guī)則第四十九條的約定向中漢付清全

部購買價款和應(yīng)當支付的其它費用，則中漢應(yīng)自拍賣

成交日起三十五天後，將出售收益以人民幣方式支付

委托人。

第二十五條：延遲付款

如本規(guī)則第四十九條約定的付款期限屆滿，中漢仍未

收到買受人的全部購買價款導(dǎo)致中漢無法按期向委托

人支付收益價款的，不視為中漢違約，但中漢將在實

際收到買受人支付的全部購買價款之日起七個工作日

內(nèi)將出售收益支付給委托人。

第二十六條：稅項

委托人通過拍賣所得出售收益的稅務(wù)問題，按照法律

及政府規(guī)定辦理。

如有關(guān)法律規(guī)定本公司有代扣代繳義務(wù)的，本公司將

依照法律規(guī)定執(zhí)行；委托人應(yīng)協(xié)助辦理所有手續(xù)并承

擔相應(yīng)稅費。

第二十七條：協(xié)助收取拖欠款項

委托人在委托中漢拍賣其物品的同時，被視為授權(quán)中

漢有權(quán)代委托人向買受人追索相應(yīng)拖欠價款。中漢也

可以自身名義對買受人提起訴訟，要求其承擔違約責

任。如買受人在拍賣成交日(含成交日)起三十日內(nèi)未

向中漢付清全部購買價款，中漢除有權(quán)按照本規(guī)則第

五十五條及第五十六條之約定向買受人追索其應(yīng)付的

酬金及其它各項費用外，亦有權(quán)在中漢認為實際可行

的情況下，采取適當措施(包括但不限于提起訴訟)為

委托人向買受人追索拖欠的款項。

上述約定并不排除委托人享有親自或委托任何第三方

向買受人追索相應(yīng)拖欠款項的權(quán)利，亦不賦予中漢在

任何情況下代委托人向買受人追索相應(yīng)拖欠價款的義

務(wù)。中漢在任何情況下不應(yīng)因買受人未能支付購買價

款而向委托人承擔相應(yīng)責任。

第二十八條：中漢有權(quán)決定

中漢有權(quán)接受委托人授權(quán)(由委托人支付費用)并視具

體情況決定下列事項：

(一)同意購買價款以特殊付款條件支付；

(二)搬移、貯存及投保已出售的拍賣品；

(三)根據(jù)本規(guī)則有關(guān)條款，解決買受人提出的索賠或

委托人提出的索賠；

(四)依法采取其它必要措施向買受人追索拖欠的任何

款項。

第二十九條：拍賣品未能成交

如拍賣品未能成交，委托人應(yīng)自中漢向委托人發(fā)出領(lǐng)

回通知之日(含通知日)起十四日內(nèi)于中漢指定地點取

回該拍賣品(包裝及搬運費用由委托人自行承擔)，并

按本規(guī)則約定向中漢支付未拍出手續(xù)費及其它各項費

用。超過上述期限，中漢有權(quán)以公開拍賣或其它方式

按中漢認為合適的條件出售該拍賣品，并有權(quán)從出售

收入中扣除第一次拍賣時委托人應(yīng)支付的未拍出手續(xù)

費及其它各項費用及再次拍賣或以其它方式出售該拍

賣品的所有費用，將余款支付委托人。

第三十條：風險承擔

無論是未上拍或未能成交的拍賣品，委托人均應(yīng)對其

超過本規(guī)則規(guī)定期限未能取回其拍賣品而在該期限後

所發(fā)生之一切風險及費用自行承擔責任。自中漢向委

托人發(fā)出領(lǐng)回拍賣品的通知之日(含通知日)起第十四

日下午4點，或自委托人按本規(guī)則約定領(lǐng)取拍賣品之

時(以先到者為準)，未上拍或未能成交拍賣品的一切

風險及費用由委托人承擔。如委托人在本規(guī)則規(guī)定期

限內(nèi)要求中漢協(xié)助其退回拍賣品并經(jīng)中漢同意，拍賣

品自離開中漢指定地點後的一切風險及費用由委托人

承擔。除非委托人特別指明并預(yù)先支付保險費，中漢

拍賣規(guī)則

無義務(wù)對拍賣品在離開中漢指定地點後予以投保。

如委托人要求中漢協(xié)助，以郵寄、快遞或其它通過第

三方的運輸方式退回其拍賣品，第三方的運輸費用由

委托人自行承擔，自中漢將拍賣品交付郵寄、快遞、

運輸部門、公司或其雇員/分支機構(gòu)時起拍賣品毀損

滅失風險及相關(guān)費用由委托人自行承擔，且視為中漢

已退回該拍賣品，同時亦應(yīng)視為委托人已領(lǐng)取該拍賣

品。

第四章? 關(guān)于競買人和買受人

第三十一條：拍賣品圖錄

為便于競買人及委托人參加中漢舉辦的拍賣活動，中

漢制作拍賣品圖錄，以文字及/或圖片的形式，對拍

賣品進行簡要陳述。拍賣品圖錄中的文字、參考價、

圖片或其它形式的影像制品和宣傳品，僅供競買人參

考，并可于拍賣前修訂，不表明中漢對拍賣品的真實

性、價值、色調(diào)、質(zhì)地、有無缺陷等所作的擔保。

第三十二條：圖錄之不確定性

因印刷或攝影等技術(shù)原因造成拍賣品在圖錄及/或其

它任何形式的圖標、影像制品和宣傳品中的色調(diào)、顏

色、層次、形態(tài)等與原物存在誤差者，以原物為準。

中漢及其工作人員或其代理人對任何拍賣品用任何方

式(包括證書、圖錄、幻燈投影、新聞載體等)所作的

介紹及評價，均為參考性意見，不構(gòu)成對拍賣品的任

何擔保。中漢及其工作人員或其代理人對上述之介紹

及評價中的不準確或遺漏之處不承擔責任。

第三十三條：競買人之審看責任

中漢對拍賣品的真?zhèn)渭?或質(zhì)量不承擔瑕疵擔保責任。

競買人及/或其代理人有責任自行了解有關(guān)拍賣品的實

際狀況并對自己競投某拍賣品的行為承擔法律責任。

中漢鄭重建議，競買人應(yīng)在拍賣日前，以親自鑒定、

邀請專家共同查驗或其它方式親自審看擬競投拍賣品

之原物，自行判斷該拍賣品的真?zhèn)渭盎蛸|(zhì)量是否與拍

賣品圖錄以及其它形式的影像制品和宣傳品所描述相

符合，而不應(yīng)依圖錄及影像制品和宣傳品的描述做出

決定。

第三十四條：競買人登記

競買人為自然人的，應(yīng)在拍賣日前憑有效身份證件填

寫并簽署登記檔；競買人為法人或者其它組織的，應(yīng)

在拍賣日前憑有效的注冊登記證書、法定代表人身份

證明或者合法的授權(quán)委托書填寫并簽署登記檔，領(lǐng)取

競投號牌；即視為正式競買人。

競買人請妥善保管競投號牌，非經(jīng)雙方事先達成書面

一致，拍賣活動現(xiàn)場持相應(yīng)競投號牌者中漢將視為競

買人本人。

第三十五條：保證金

競買人參加中漢拍賣活動，應(yīng)在領(lǐng)取競投號牌前交納

保證金。保證金的具體數(shù)額由中漢在拍賣日前公布。

若競買人未能購得拍賣品，上述保證金在拍賣結(jié)束後

五個工作日內(nèi)，全額無息返還競買人；若競買人購得

拍賣品，則抵作部分購買價款。若有余額，則于競買

人領(lǐng)取拍賣品時，一并返還。

如果中漢對某些競買人的資信狀況和履行能力存有疑

問，中漢有權(quán)要求該競買人提供其資信狀況和履行能

力的相關(guān)數(shù)據(jù)，并有權(quán)自行委托第三方對有關(guān)信息進

行調(diào)查核實。中漢也有權(quán)要求該競買人交納高于通常

標準的保證金。如果該競買人拒絕中漢的要求，中漢

有權(quán)拒絕其參加中漢的拍賣活動。

第三十六條：中漢之選擇權(quán)

中漢有權(quán)酌情拒絕某些人參加中漢舉辦的拍賣活動或

進入拍賣現(xiàn)場，或在拍賣現(xiàn)場進行拍照、攝像等活

動。

第三十七條：異常情況處理

在拍賣現(xiàn)場出現(xiàn)異常的情況下，中漢有權(quán)做出緊急處

理。如拍賣現(xiàn)場出現(xiàn)任何爭議，中漢有權(quán)協(xié)調(diào)解決。

第三十八條：競買人的代理人

除非某競買人在拍賣日前向中漢出具書面證明并經(jīng)中

漢書面認可，表明其身份是某第三人的代理人，否則

每位競買人均被視為以該競買人本人的名義參與相應(yīng)

拍賣活動，享有相應(yīng)的權(quán)利，并承擔相應(yīng)的義務(wù)。

競買人委托他人代理競買的，應(yīng)當出具授權(quán)委托書(原

件)和競買人、代理人的身份證明復(fù)印件(中漢驗看身

份證明原件)。

授權(quán)委托書應(yīng)載明代理人的姓名或者名稱、代理事

項、代理權(quán)限和期間。

第三十九條：委托中漢代為競投

通常情況下，競買人應(yīng)親自出席拍賣會。如不能親自

出席，可采用書面形式或者中漢認可的其它方式委托

中漢代為競投。中漢有權(quán)決定是否接受上述委托。

第四十條：委托中漢代為競投的手續(xù)

委托中漢競投之競買人應(yīng)在規(guī)定時間內(nèi)(不遲于拍賣日

前二十四小時)辦理委托手續(xù)，向中漢出具書面的委托

競投授權(quán)書，并應(yīng)根據(jù)本規(guī)則第三十五條之約定同時

繳納保證金。否則，中漢有權(quán)拒絕該委托。

第四十一條：取消委托

委托中漢競投之競買人如需取消委托授權(quán)，應(yīng)不遲于

拍賣日前二十四小時書面通知中漢。

第四十二條：委托競投之免責

由于委托競投是中漢為在特殊情況不能親自到現(xiàn)場參

加競投的競買人提供的一項免費服務(wù)，因而中漢及其

工作人員對競投未成功或委托競投過程中出現(xiàn)的疏

忽、過失或無法代為競投等問題不承擔任何責任。

第四十三條：委托在先原則

若兩個或兩個以上之競買人以相同委托價委托中漢競

投同一拍賣品，且競投成功，則最先將委托競投授權(quán)

書交至中漢的競買人為該拍賣品的買受人。

第四十四條：拍賣師的決定權(quán)

拍賣師有權(quán)代表中漢提高或降低競價階梯，有權(quán)拒絕

任何應(yīng)價。在出現(xiàn)爭議時，拍賣師有權(quán)決定將拍賣品

重新拍賣。

第四十五條：影像顯示板及貨幣兌換顯示板

為方便競買人，中漢可能于拍賣中使用影像投射或其

它形式的顯示板，其所示內(nèi)容僅供參考。中漢對顯示

板所示之數(shù)額、拍賣品編號、拍賣品圖片或參考外匯

金額可能出現(xiàn)的誤差及因此而導(dǎo)致的任何損失，不承

擔責任。

第四十六條：拍賣成交

競買人的最高應(yīng)價經(jīng)拍賣師落槌或者以其它公開表示

買定的方式確認的同時，拍賣成交，拍賣品買賣合同

即告成立并生效。該競買人即成為拍賣品的買受人。

第四十七條：拍賣記錄

中漢進行拍賣時，制作拍賣筆錄，拍賣筆錄由拍賣

師、記錄人共同簽名。

在中漢舉辦的拍賣活動中，最高應(yīng)價經(jīng)拍賣師落槌或

者以其它公開表示買定的方式確認後，為便于結(jié)算等

目的，買受人應(yīng)當簽署成交確認書。成交確認書的簽

署系拍賣品買賣合同已經(jīng)成立并生效的證據(jù)之一。

第四十八條：買受人應(yīng)支付的酬金及費用

買受人應(yīng)支付中漢相當于落槌價百分之十五的酬金，

同時應(yīng)支付根據(jù)本規(guī)則規(guī)定應(yīng)當由買受人支付的其它

各項費用。買受人承認中漢可根據(jù)本規(guī)則第二十二條

的約定向委托人收取傭金及其它各項費用。

第四十九條：付款時間

拍賣成交後，買受人應(yīng)自拍賣成交日(含成交日)起

三十日內(nèi)一次付清購買價款并領(lǐng)取拍賣品(包裝及搬運

費用有買受人自負)，否則應(yīng)承擔違約責任。

第五十條：支付幣種

所有價款應(yīng)以中漢指定的貨幣支付，如買受人以中漢

指定的貨幣以外的其它貨幣支付，應(yīng)按買受人與中漢

約定的匯價折算或按照中國人民銀行于買受人付款日

前一個工作日公布的人民幣與該幣種的匯價折算。為

將買受人所支付之幣種兌換成人民幣所產(chǎn)生的銀行手

續(xù)費、傭金或其它所有費用，均由買受人承擔。

第五十一條：所有權(quán)轉(zhuǎn)移

買受人如約全額支付購買價款後，即應(yīng)領(lǐng)取拍賣品，

以獲得拍賣品的所有權(quán)。

第五十二條：風險轉(zhuǎn)移

競投成功後，拍賣品的風險于下列任何一種情形發(fā)生

後(以先到者為準)即由買受人自行承擔：

(一)買受人領(lǐng)取所購拍賣品；或

(二)買受人向中漢支付有關(guān)拍賣品的全部購買價款；

或

(三)拍賣成交日(含成交日)起三十日屆滿(超過該日下

午4點)。

第五十三條：領(lǐng)取拍賣品

買受人須在拍賣成交日(含成交日)起三十日內(nèi)(至該日

下午4點)，在按照本規(guī)則的規(guī)定付款後，于中漢指定

地點領(lǐng)取所購買的拍賣品。若買受人未能在此期限內(nèi)

領(lǐng)取拍賣品，則因逾期造成對該拍賣品的搬運、儲存

及其它各項費用均由買受人承擔，且買受人應(yīng)承擔其

所購拍賣品毀損、滅失的風險。即使該拍賣品仍由中

漢或其它代理人代為保管，中漢及其工作人員或其代

理人對由于任何原因所致的該拍賣品毀損、滅失，不

負任何責任。

第五十四條：包裝及運輸

中漢有權(quán)決定是否接受買受人要求，提供代為包裝及

處理的服務(wù)。如果中漢工作人員應(yīng)買受人要求代為包

裝及處理購買的拍賣品，上述包裝及處理僅應(yīng)視為

中漢對買受人提供的非營利性服務(wù)，因此發(fā)生的任何

風險及損失均由買受人自負。在任何情況下，中漢對

因任何原因造成的框架或玻璃、囊匣、底墊、支架、

裝裱、插冊、軸頭或類似附屬物的損壞、滅失不負責

任。

如買受人要求中漢協(xié)助，以郵寄、快遞或運輸方式領(lǐng)

取其所購買的拍賣品(包裝及郵遞、運輸費用由買受人

拍賣規(guī)則

負擔)，自中漢將拍賣品交付郵寄、快遞、運輸部門、

公司或其雇員/分支機構(gòu)之時，則視為中漢已向買受人

交付該拍賣品，同時亦應(yīng)視為買受人已按正常程序領(lǐng)

取該拍賣品，此一過程中的風險由買受人承擔。除非

買受人特別指明并負擔保險費外，在郵寄、快遞、運

輸過程中一般不予投保。

對于買受人指定或中漢向買受人推薦的包裝公司及郵

寄、快遞、運輸部門或公司所造成的一切錯誤、遺

漏、損壞或滅失，中漢不承擔責任。

第五十五條：拍賣品出境

根據(jù)《中華人民共和國文物保護法》及其它法律、法

規(guī)規(guī)定，限制帶出中華人民共和國國境的拍賣品，中

漢將盡其所知在拍賣品圖錄中或在拍賣現(xiàn)場予以說

明；允許帶出中華人民共和國國境的拍賣品，買受人

應(yīng)根據(jù)國家有關(guān)規(guī)定自行辦理出境手續(xù)。

第五十六條：未付款之補救方法

若買受人未能按照本規(guī)則第四十八條約定的時間足額

付款，中漢有權(quán)采取以下之一種或多種措施：

(一)對買受人提起訴訟、仲裁或其他爭議解決程序，

要求繼續(xù)履行付款義務(wù)；

(二)解除拍賣品買賣合同，并按有關(guān)法律法規(guī)的規(guī)定

及本規(guī)則的約定，追究買受人相應(yīng)的法律責任；

(三)買受人交納的保證金不予退還，并按照本規(guī)則約

定承擔其它相應(yīng)責任；

(四)在拍賣成交日(含成交日)起三十日內(nèi)，如買受人仍

未足額支付購買價款，中漢有權(quán)自拍賣成交日(含成交

日)後第三十一日起就買受人未付款部分按照日息萬分

之五收取利息，并且有權(quán)選擇按照拍賣品落槌價每日

萬分之三或以每件拍賣品人民幣叁佰元／日收取保管

費(以兩者中較高者確定)，直至買受人付清全部款項

之日止和中漢對拍賣品取消保管之日止或買受人與中

漢另有協(xié)議者除外；

(五)對買受人提起訴訟、仲裁或其它爭議解決程序，

要求賠償因其違約給中漢造成的一切損失，包括但不

限于：因買受人遲付或拒付款項造成的利息損失、中

漢為訴訟或者仲裁所支付的律師費；

(六)留置由同一買受人購得的該件或任何其它拍賣

品，以及因任何原因由中漢占有的該買受人的任何其

它財產(chǎn)或財產(chǎn)權(quán)利。留置期間發(fā)生的一切費用及/或

風險均由買受人承擔。若買受人未能在中漢指定時間

內(nèi)履行其全部相關(guān)義務(wù)，則中漢有權(quán)根據(jù)中華人民共

和國相關(guān)法律、法規(guī)之規(guī)定處分留置物。處分留置物

所得不足抵償買受人應(yīng)付中漢全部款項的，中漢有權(quán)

另行追索；

(七)在拍賣成交日起六十日內(nèi)，如買受人仍未向中漢

付清全部購買價款的，中漢有權(quán)視具體情況撤銷或同

意委托人撤銷在同一或任何其他拍賣中向同一買受人

售出的該件或任何其它拍賣品的交易，并保留追索因

撤銷該筆或任何其它交易致使中漢所蒙受全部損失的

權(quán)利；

(八)經(jīng)征得委托人同意，按照本規(guī)則的規(guī)定，再行拍

賣或以其它方式出售該拍賣品。原買受人除應(yīng)當支付

第一次拍賣中買受人及委托人應(yīng)當支付的酬金/傭金及

其它各項費用并承擔再次拍賣或以其它方式出售該拍

賣品的所有費用外，若再行拍賣或以其它方式出售該

拍賣品所得的價款低于原拍賣價款的，原買受人應(yīng)當

補足差額。

(九)其它適當措施。

第五十七條：延期領(lǐng)取拍賣品之補救方法

若買受人未能按照本規(guī)則第四十九條約定的時間領(lǐng)取

其購得的拍賣品，則中漢有權(quán)采取以下之一種或多種

措施：

(一)將該拍賣品儲存在中漢或其他地方，由此發(fā)生的

一切費用及/或風險均由買受人承擔。買受人應(yīng)向中漢

支付自拍賣成交日(含成交日)後第三十一日起至實際

領(lǐng)取之日止期間的保管費，保管費按照拍賣品落槌價

每日萬分之三或以每件拍賣品人民幣叁佰元／日(以兩

者中較高者確定)的標準計算，直至本公司對相關(guān)拍賣

品取消保管之日止；買受人亦應(yīng)按照落槌價的百分之

一的標準向中漢支付上述期間的保險費。在買受人如

數(shù)支付全部購買價款和費用後，方可領(lǐng)取拍賣品(包裝

及搬運等費用自負)；

(二)買受人應(yīng)對其超過本規(guī)則規(guī)定期限未能領(lǐng)取相關(guān)

拍賣品而在該期限屆滿後所發(fā)生之一切風險及費用自

行承擔責任。如買受人自拍賣成交日起的九十日內(nèi)仍

未領(lǐng)取拍賣品的，則中漢有權(quán)以公開拍賣或其他中漢

認為合適的方式及條件出售該拍賣品，處置所得在扣

除中漢因此產(chǎn)生之全部損失、費用(包裝及搬運費用、

運輸保險費用、出境鑒定費、保管費、公證費等)後，

若有余款，則由買受人自行取回，該余款不計利息。

(三)將拍賣品交付提存機構(gòu)予以提存。提存費用由買

受人承擔。有關(guān)提存的事項，依照中華人民共和國的

法律、法規(guī)、規(guī)章辦理。

第五章? 其他

第五十八條：保密責任

中漢有義務(wù)為委托人、競買人及買受人保守秘密，并

根據(jù)中華人民共和國法律和本規(guī)則維護委托人、競買

人、買受人和中漢的正當權(quán)益不受侵害。

第五十九條：鑒定權(quán)

委托人與中漢簽署委托拍賣合同後，如果中漢認為需

要，可以對拍賣品進行鑒定。鑒定范圍包括拍賣品的

作者、年代、名稱、形式、質(zhì)地、狀況、瑕疵、尺寸

等，鑒定結(jié)論與委托拍賣合同記載不符的，中漢有權(quán)

要求變更或者解除委托拍賣合同。

如果拍賣合同已履行完畢，委托人應(yīng)當退還出售收

益；如果委托人違反了本規(guī)則第九條之保證事項，委

托人還應(yīng)當依據(jù)本規(guī)則第九條之規(guī)定承擔相應(yīng)的賠償

責任。

第六十條：著作權(quán)

中漢有權(quán)自行對委托人委托中漢拍賣的任何物品制作

照片、圖示、圖錄或其它形式的影像制品，并依法享

有上述照片、圖示、圖錄或其它形式的影像制品的著

作權(quán)，有權(quán)對其依法加以使用(包括但不限于線上或線

下任何方式或渠道宣傳拍賣活動或其他與拍賣品、中

漢有關(guān)的宣傳推廣)。

第六十一條：免除責任

中漢對委托人或買受人的任何違約行為不承擔責任。

在委托人或買受人出現(xiàn)違約行為的情況下，中漢有權(quán)

根據(jù)自己的判斷決定向委托人或買受人披露另一方的

名稱和地址，使受到損害的一方得以通過法律訴訟或

者其它合法方式獲得損害賠償。但是，中漢在向委托

人或買受人披露該等資料之前，將采取合理步驟通知

將被披露資料的一方。

第六十二條：對中漢商譽損害的賠償責任

委托人在無確切證據(jù)的情況下，不得就中漢的誠信(包

括但不限于：就中漢返還未上拍或未成交拍賣品的同

一性、鑒定結(jié)論的公正性等)提起訴訟或作出其它損害

中漢商譽的行為。否則，中漢有權(quán)要求委托人公開道

歉，并賠償商譽損失及因此產(chǎn)生的一切費用，商譽損

失的賠償金額應(yīng)與該拍賣品的保留價相同。買受人在

無確切證據(jù)的情況下，不得就成交的拍賣品的真?zhèn)伟l(fā)

表沒有根據(jù)或不負責任的意見，或者就中漢向其交付

的拍賣品的同一性等提起訴訟或作出其它損害中漢商

譽的行為。否則，中漢有權(quán)要求委托人公開道歉，并

賠償商譽損失及因此產(chǎn)生的一切費用，商譽損失的賠

償金額應(yīng)與該拍賣品的保留價相同。

其它人士(包括但不限于競買人)在無確切證據(jù)的情況

下，亦不得就成交的拍賣品的真?zhèn)伟l(fā)表沒有根據(jù)或不

負責任的意見，或者作出其它損害中漢商譽的行為。

否則，中漢有權(quán)要求其公開道歉，并賠償商譽損失及

因此產(chǎn)生的一切費用，商譽損失的賠償金額應(yīng)與該拍

賣品的保留價相同。

第六十三條：通知

競買人及委托人均應(yīng)將其固定有效的通訊聯(lián)絡(luò)方式告

知中漢，若有改變，應(yīng)立即書面告知中漢。本規(guī)則中

所提及之通知，謹指以信函或傳真形式發(fā)出的書面通

知。如以郵遞方式發(fā)出，一旦中漢將通知交付郵遞部

門，則視為中漢已發(fā)出該通知，同時應(yīng)視為收件人已

按正常郵遞程序收到該通知。如以傳真、電子郵件、

手機短信等電子方式發(fā)出，則發(fā)送當日為收件人收到

該通知的日期。

第六十四條：可分割性

參加中漢組織的拍賣活動的當事人各方之間的權(quán)利義

務(wù)，依照本規(guī)則的約定確定。

如本規(guī)則之任何條款或部分因任何理由被認定為無

效、不合法或不可強制執(zhí)行，本規(guī)則其它條款或部分

仍然有效，相關(guān)各方必須遵守、執(zhí)行。

本規(guī)則與現(xiàn)行拍賣法及相關(guān)法律、法規(guī)的規(guī)定不一致

的，如果本規(guī)則的規(guī)定不違反有關(guān)法律和行政法規(guī)的

禁止性規(guī)定，應(yīng)該優(yōu)先適用本規(guī)則的規(guī)定。本規(guī)則沒

有規(guī)定的，如果現(xiàn)行法律、法規(guī)有規(guī)定，適用有關(guān)法

律的規(guī)定；如果本規(guī)則和相關(guān)法律、法規(guī)均沒有規(guī)定

的，適用國際慣例或國內(nèi)行業(yè)慣例。

第六十五條：爭議解決

因依照本規(guī)則參加中漢拍賣活動的當事人各方之間發(fā)

生的任何爭議，如果通過協(xié)商不能解決，相關(guān)各方應(yīng)

向中漢住所地的具有管轄權(quán)的法院提起訴訟。

解決該等爭議的準據(jù)法應(yīng)為中華人民共和國的法律。

第六十六條：使用文字

本規(guī)則以中文寫就，英文文本僅供參考。中文文本如

與英文文本有任何不一致之處，以中文文本為準。

本圖錄中的拍品估價以人民幣為準，外幣估價僅供參

考。

第六十七條：施行時間

本規(guī)則于2020年6月1日起施行。

第六十八條：解釋權(quán)

在法律允許的范圍內(nèi)、本規(guī)則的解釋權(quán)屬于北京中漢

拍賣有限公司。

本規(guī)則使用的各標題僅為方便閱讀，不得將之并為本

規(guī)則內(nèi)容，亦不得作為解釋本規(guī)則各條款的依據(jù)。

拍賣規(guī)則

Chapter I General Provisions

Article 1 Governing Law

These Conditions of Business (hereinafter referred to

as "these Conditions") are made in accordance with

the Auction Law of the People's Republic of China,

other applicable laws and regulations and international

practices.

Article 2 Definitions and Interpretation

The terms used in these Conditions shall have the

following meanings:

"Company" means Beijing Johan's Auctions Co., Ltd.

"Bidder" means a natural person, legal person or any

other organization registered for an auction held by

the Company, having completed necessary formalities

and bidding for a Lot or Lots. The Bidder shall meet

qualifications and conditions set forth in applicable

laws and regulations of China in respect of buying a

Lot or Lots. For the purpose of these Conditions, unless

otherwise provided herein or the context otherwise

requires, “Bidder” shall include any of its agents.

"Buyer" means the highest Bidder buying the Lot at an

auction held by the Company.

"Seller" means a natural person, legal person or

any other organization that consigns the Lot to the

Company for auction in accordance with these

Conditions. For the purpose of these Conditions, unless

otherwise provided herein or the context otherwise

requires, "Seller" shall include any of its agents.

"Lot" means any item(s) deposited with the Company

for sale at auction in accordance with law.

"Auction Date" means, in respect of an auction, the

date announced by the Company on which the auction

will officially begin. In the case of any discrepancy

between the actual date of auction and the date

announced, the actual date of auction shall prevail.

"Sale Date" means, in respect of an auction held by the

Company, the date on which the auctioneer confirms

the sale of any lot by striking his hammer or in any

other public manner.

"Hammer Price" means the amount of the highest bid

accepted by the auctioneer in relation to a Lot.

"Proceeds of Sale" means the net amount owed to the

Seller equal to Hammer Price less commission pro

rata, all Expenses and any other amounts owed to the

Company by the Seller.

"Purchase Price" means the total amount payable by

Buyer for its bid, including Hammer Price, commission

and other Expenses payable by Buyer as well as the

charges caused by Buyer's defaults.

"Expenses" means costs and charges, including but

not limited to those with respect to Lot insurance,

catalogue and other advertisements, packaging,

transportation, storage, and any other expenses

incurred pursuant to relevant laws, regulations and

provisions hereof.

"Reserve" means the minimum (confidential) price at

which the Seller agrees to sell the Lot.

"Estimate" means the price of the Lot provided in the

catalogue or other descriptive materials and estimated

prior to the Auction. Subject to possible changes from

time to time, the Estimate can not be deemed as the

fixed sale price.

Article 3 Scope of Conditions

The Company organizes auctions pursuant to the laws,

regulations and policies of China. These Conditions

shall ensure the benefit of and be binding upon

CONDITIONS OF BUSINESS

Seller, Bidder, Buyer and any other parties concerned

(including but not limited to the agents of Seller,

Bidder and Buyer) participating in an auction held by

the Company. By bidding at an auction held by the

Company, whether present in person or by agent,

by written bid, telephone or other means, Bidders

shall be deemed to have accepted these Conditions.

All disputes between the parties participating in the

Company's auction shall be solved in accordance with

the provisions of these Conditions.

Article 4 Warranty against Defect

The Company denies any warranty of the authenticity

and/or quality of any Lot. Any descriptions, statements

and comments in connection with the Lot provided

by the Company shall be for information only and

in no way shall they constitute any warranty of the

authenticity and/or quality of the Lot. All Lots are sold

"as is". The Bidder and/or its agent shall bear the

responsibility of inspecting the Lot in person or through

experts designated thereby and shall be legally liable

for its bid for any Lot. By bidding at an auction held by

the Company, the Bidder shall be deemed to have fully

inspected the Lot in which they are interested in terms

of authenticity and quality thereof and have satisfied

themselves as to condition and value of the Lot. By

bidding at auction the Bidder acknowledges that he is

willing to bear any possible risk in bidding and that he

has waived the rights of challenging the authenticity

and/or quality of the Lot.

Article 5 Special Notice

When the auctioneer confirms the highest bid by

striking his hammer or in any other public manners at

an auction held by the Company, the highest Bidder

shall be the Buyer of the Lot and the sale contract

concerning the Lot shall come into effect immediately.

Whether the purchase confirmation has been signed

or not shall have no effect on the fact that the sale

contract has come into effect. At that moment, the

fact that the Lot has been lawfully sold to the highest

Bidder shall be accepted by the Company, all

Bidders, Seller and Buyer, who shall be entitled to and

assume any rights and obligations arising therefrom

under laws and these Conditions. Any party failing

to perform obligations thereof shall assume relevant

legal liabilities. Any Seller, Bidder, Buyer and other

parties concerned participating in an auction held by

the Company shall read these Conditions carefully

and conform to the provisions hereof. All parties shall

be liable for their own actions at auction and any loss

caused by their failure to read the Conditions carefully.

The Company reserves and will under appropriate

circumstances practice the right to alter these

Conditions, particularly by the form of a bulletin and/

or a preannouncement of Auctioneer at auction. Any

changes in these Conditions so made shall supersede

all prior agreements.

Chapter II Commitment

Article 6 Commitment of the Company

The Company is established under the laws of the

People's Republic of China. Honesty and good faith are

basic principles underlying the Company's operations.

The Company undertakes that it will at any auction and

other related activities treat all Sellers, Bidders, Buyers

and other relevant parties with honesty and good faith.

With respect to the following aspects of any auction,

the Company undertakes that:

the Company will store the Lot in a reasonably

prudential manner pursuant to these Conditions and

prevailing practices of the auction industry and return

to the Seller the unauctionable or unsold Lot pursuant

to these Conditions;

the Company will examine the Lot in a reasonably

prudential manner and state its opinion in the catalogue

or other relevant documents. However, in no way shall

any representation or opinion of the Company on any

Lot constitute any warranty or guarantee of the quality,

authenticity, age, author or any other aspect of the Lot;

the Company undertakes that the Lot bought by the

Buyer will be stored in a proper manner pursuant to

these Conditions after the auction. The Company further

undertakes to assume the liability of compensating the

Buyer for any losses and damages of the Lot, to the

extent of the Purchase Price already paid by the Buyer,

before the aforementioned risks have been transferred

to the Buyer under these Conditions;

notwithstanding the risks of losses or damages of

the Lot have been transferred to the Seller or Buyer

hereunder, the Lot not taken back by the Seller or

taken away by the Buyer within the specified time limit

will still be properly stored by the Company in good

faith. However, the aforementioned good deed of the

Company does not constitute warranty or guarantee to

the Seller/Buyer that the Company will undertake any

obligation to preserve the Lot, and any loss or damage

of the Lot and all storage costs paid by the Company

shall be subject to pertinent provisions hereof set forth

below; and

the Company will respect and under no circumstance

breach the copyright of the Lot owned by the Seller

or Buyer, and will comply with applicable laws and

these Conditions when producing and using pictures,

illustrations, catalogues, or other forms of images

of the Lot. However, the Company will under no

circumstances give any opinion or warranty in relation

to the ownership and/or restrictions of the copyright of

the Lot.

C h a p t e r I I I C o n d i t i o n s M a i n l y

Concern-ing the Seller

Article 7 Consignment Procedures

When the Company acts as an agent of the Seller to

auction its property:

The Seller as a natural person shall hold a valid identity

certificate and enter into a consignment contract with

the Company;

The Seller as a legal person or any other organization

shall hold a valid certificate of registration, identity

certificate of legal representative, power of attorney

and identity certificate of agent and enter into a

consignment contract with the Company;

When the Seller enters into a consignment contract

with the Company, the Company shall be automatically

authorized to produce pictures, illustrations, catalogue,

or other forms of images of the Lot.

Article 8 The Seller's Agent

When arranging for consignment on behalf of the

Seller, the Seller's agent shall submit to the Company

the following documents:

If the agent is a natural person, valid identity certificate;

If the agent is a legal person or any other organization,

valid certificates of registration, identity certificate of

legal representative, power of attorney issued by such

legal person or any other organization to the agent

(natural person) thereof and the identity certificate of

the agent (natural person); and

CONDITIONS OF BUSINESS

Power of attorney issued by the Seller to the Seller's

agent through lawful procedures.

The Seller has rights to check all the documents

mentioned above within the legal permission.

Article 9 The Seller's Warranties

The Seller hereby makes irrevocable warranties as

follows to the Company and the Buyer with respect to

the consigned Lot:

The Seller has exclusive and absolute ownership and

legal right to dispose of the Lot. Without prejudice to

any legal interest (including copyright) of any third

party, the auction of the Lot will not violate any relevant

law or regulation;

The Seller has, to the best of its knowledge, made

full and complete disclosure and description to the

Company with respect to the origin and any flaw

or defect of the Lot without any concealment and

fabrication; and

The Seller shall indemnify and hold the Company and/

or the Buyer harmless from and against any claims,

losses and damages or actions incurred or brought by

the actual owner or any third party who claims to be

the actual owner of the Lot and all Expenses and costs

(including but not limited to attorney's fees, survey

fees and court costs) incurred in connection therewith

arising out of or in any way attributable to any breach

of above warranties.

Article 10 Reserve

All Lots are offered subject to a Reserve, unless

otherwise agreed by the Seller and the Company. The

Reserve shall be determined by the Seller and the

Company in writing and no modification or amendment

of the Reserve shall be binding upon the parties unless

prior consent of the other party is obtained. In the event

that the Lot is not sold in the auction, the Company

shall have right to sell such Lot at the Reserve after the

auction and be entitled to commission therefor from

the Seller. Under no circumstances shall the Company

accept any liability for failure in sale due to bidding

lower than the Reserve at the auction.

Article 11 The Company's Discretion

The Company may decide on the followings at its

absolute discretion:

Explanation and/or appraisal of any Lot made by the

catalogue of Lot and/or news media and/or in other

ways;

Adoption of expert's opinion;

The arrangement for illustrations in catalogue,

EXHIBITIONs and other advertising activities in

connection with Seller's Lot and charge rates accrued

thereupon;

Whether the Lot is suitable for the Company to auction;

and

The place, date, conditions and way of auction.

Article 12 Unauctionable Lot

After the Seller has entered into the consignment

contract with and delivered the Lot to the Company,

if for any reason the Company believes that the Lot

is not suitable for auction, the Seller shall, at the site

which the Company at its sole discretion considers

appropriate, collect the Lot within 14 days from the

date of the Company's notice dispatched (the date

when the notice is dispatched shall be counted and

the fees for the packaging and handling shall be paid

by the Seller), in which case the consignment contract

made between the Seller and the Company shall cease

on the date the Seller collects the Lot. If the Seller

fails to collect the Lot during the above-mentioned

Period, the consignment contract will be automatically

terminated upon expiration of the term thereof. The

Company reserves the right to dispose of the Lot in

any way it deems reasonable if the Seller still fails to

collect the Lot within 7 days following the ceasing of

the consignment contract, in which case the proceeds

from such disposal shall be collected by the Seller

after deduction of all costs and Expenses incurred, if

any remaining amount exists after such deductions.

Article 13 Suspension of Auction

The Company may suspend any auction at any time

under any one of the following circumstances:

The Company has objection to the ownership or

authenticity of the Lot;

Any third party has objection to the ownership or

authenticity of the Lot with undertakings to provide

relevant evidence, make security as required by the

Company and take liability for all legal repercussions

and losses due to suspension of auction;

The Company and/or any third party has objection to

representations made by the Seller or the accuracy

regarding the Seller's warranty provided in Article 9

hereof; or The Company and/or any third party has

any evidence to prove the Seller has already violated

or is to violate any term of these Conditions.

Article 14 Withdrawal of Lots by Seller

The Seller may withdraw the Lot at any time prior to

the Auction Date subject to the Company's consent

and a written notice stating the reasons. In the case

that the catalogue or any other advertisements of

the Lot have begun to be printed upon the Seller's

withdrawal, the Seller shall pay an amount equal to

20% of the insured value of the Lot and other Expenses

in connection therewith. In the case that the catalogue

or other advertisements have not been printed, the

Seller shall pay an amount equal to 10% of the insured

value of the Lot and other related Expenses. The Seller

shall be liable for any disputes and claims caused

by withdrawal of a Lot. The Seller shall indemnify,

defend and hold the Company harmless from any

and all claims, liabilities and Expenses, including

without limitation attorney's fees and court costs, which

may be imposed on the Company as a result of the

aforementioned withdrawal.

Article 15 Insured Automatically

Unless otherwise agreed by the Seller and the

Company, all the Lots will be automatically covered

under the insurance of the Company as soon as the

Seller enters into the consignment contract with and

delivers the Lot to the Company. The insured value

shall be based on the Reserve agreed by the Seller

and the Company in the consignment contract (if

no Reserve is provided, the insured value is the one

agreed by both parties; if the Reserve is adjusted,

the insured value shall be the original Reserve). The

insured value is only subject to insurance and claims

other than the Company's warranty or guarantee for the

value of the Lot and the Hammer Price of the Lot.

Article 16 Insurance Premium

Unless otherwise agreed by the Seller and the

Company, the Seller shall pay the Company an

insurance premium equal to 1% of the Hammer Price

of the Lot after sale. In the case that the Lot fails to sell,

the insurance premium payable by the Seller to the

Company shall be 1% of the Reserve.

Article 17 Insurance Period

In the case that the auction of the Lot succeeds, the

insurance Period shall terminate on the earlier of 4 p.m.

of the 30th day of the Sale Date, counting from that

Date, and the date when the Buyer collects the Lot.

In the case that the auction fails, the insurance Period

shall terminate at 4 p.m. of the 14th day counting from

the day when the Seller has received the Company's

notice to take back the Lot.

Article 18 Insurance by Seller

In the event that the Seller notifies the Company not

to arrange insurance for the Lot in writing, he shall

undertake to bear all the risks of losses and damages

of the Lot and the following liabilities:

To indemnify and hold the Company harmless from and

against any claims or actions incurred or brought by

any third party with respect to the losses or damages

of the Lot;

To indemnify and hold the Company and/or any other

parties harmless from and against any losses and

Expenses in relation to the losses or damages of the

Lot caused for any reason; and

To notify the terms of indemnity hereunder to any

insurer of the Lot.

Article 19 Uninsured

The Company will not be liable for any the damages

or losses of the Lot caused by natural wear, inherent

flaws, inherent or potential defects, inherent material

changes, self-combustion, self-warming, oxidation, rust,

leakage, rat-bite, woodworm, changes in atmospheric

(climate, temperature or humidity) conditions or other

reasons of natural changes, or caused by earthquake,

tsunami, war, actions similar to war, hostile actions,

armed conflicts, terrorism, rebellion, coup, strike, riots,

traffic accident, aviation accident, or nuclear fission,

nuclear fusion, nuclear weapon, nuclear radiation, or

radioactive pollution. The Company will not take liability

for any damages to or any losses of frames, glass,

drawer, bottom mat, trestle, mounting, insert pages,

roller or other similar accessories caused by any

reason.

Article 20 Insurance Indemnity

Any damages or losses of the Lot caused by incidents

or disasters covered by insurance the Company

purchased for the Lot shall be handled in accordance

with applicable laws and regulations of the People's

Republic of China regarding insurance. The Company

shall pay insurance indemnities less all Expenses

incurred by the Company to the Seller after the

Company obtains such indemnities from the insurance

company.

Article 21 Non-Bidding

The Seller shall not bid for any Lot consigned to the

Company thereby, nor authorize any other person

to bid on behalf thereof. The Seller shall be liable for

and indemnify the Company against any losses and

damages caused by violation of this provision.

Article 22 Commission and Expenses

Unless otherwise agreed by the Seller and the

Company, the Seller shall authorize the Company to

deduct 10% of the Hammer Price as commission and

other Expenses from the Hammer Price. Nevertheless

the Company acts as the agent of the Seller, the

Seller agrees that the Company may be entitled to the

Buyer's remuneration and other Expenses payable by

the Buyer in accordance with provisions in Article 47

hereof.

Article 23 Service Fee for Unsold Lot

In the case that the auction of the Lot fails due to

bidding lower than the Reserve, the Seller shall

authorize the Company to charge the Seller a service

fee of unsuccessful auction equal to 3% of the Reserve

(or the insured value if the Reserve is not available)

and other Expenses payable by the Seller.

Article 24 Payment of Proceeds of Sale

In the case that the Buyer makes full payment to the

Company in accordance with provisions in Article 49

hereof, the Company shall pay the Proceeds of Sale to

the Seller in RMB after 35 days of the Sale Date.

Article 25 Deferred Payment

In case the Company does not receive the full payment

from the Buyer upon the expiry of payment Period

under Article 48 hereof, the Company will pay the

Proceeds of Sale to the Seller within 7 business days

upon receipt of such full payment from the Buyer.

Article 26 Taxes

The Seller shall be responsible for paying any tax

imposed on its Proceeds of Sale in accordance with

applicable laws and regulations.The Company will

withhold any tax the Company is obligated to withhold

under relevant laws and the Seller shall assist the

Company in completing all related formalities and bear

corresponding taxes.

Article 27 Assistance in Collecting Deferred

Payments

The Company shall be authorized by the Seller to

collect deferred payment from the Buyer and claim

against the Buyer for liabilities for breach of contract

in the Company's name at the same time of being

arranged for consignment. In the event the Buyer

fails to make full payment to the Company within 30

days after the Sale Date (counting from that day), the

Company is entitled to recover the commission and

other Expenses payable by the Buyer in accordance

with provisions in Article 55 and Article 56 hereof and

to take necessary measures (including but not limited

to entering into litigation, arbitration and any dispute

resolution procedures held by the public authorities) as

it deems practical to assist and/or represent the Seller

in collecting deferred payments. However, the Seller

and Company hereby agree that the aforementioned

provisions shall under no circumstance exclude the

right of the Seller to collect deferred payment from the

Buyer in person or through any third party or involve

any obligation of the Company to collect deferred

payment from the Buyer on behalf of the Seller. The

Company shall have no responsibilities and liabilities to

the Seller in the case of any deferred payment by the

Buyer.

Article 28 The Company's Discretion

The Company may determine the following matters, as

the case may be, upon authorization by the Seller (at

the Seller's Expenses):

To agree special terms on how to make the payment of

Purchase Price;

To remove, store and arrange insurance for sold Lot;

To settle claims brought by the Buyer or the Seller in

accordance with relevant terms and conditions hereof;

and

Take other necessary steps to collect deferred

payment from the Buyer.

Article 29 Unsold Lot

In the case that the Lot is not sold, the Seller shall,

at the site which the Company at its own discretion

considers appropriate, take back the Lot within 14

days upon receipt of the Company's notice (counting

from that day and the packing and shipping at

the Seller's own Expenses) and, pursuant to these

Conditions, pay the Company fees for failed auction

and all other Expenses. If the Seller fails to do so within

said Period, the Company reserves the right to resell

the Lot by public auction or in any other way under

these Conditions the Company considers appropriate

and pay the Seller the Proceeds of Sale less unsold

fees and other Expenses accrued from the first auction

and all costs incurred in the resale of the Lot.

Article 30 Risks and losses

The Seller shall take liability for any risk and/or loss

incurred beyond the aforementioned time limits in case

of failure to take back the unauctioned or unsold Lot

within said time limits. All the risks and Expenses of the

unsold and/or unauctioned Lot shall be borne by the

Seller upon the earlier of 4 p.m. of the 14th day after the

Company has served the take-back notice (counting

from that day) and the date when the Buyer collects the

Lot. In the case that the Seller requires the Company,

and the Company agrees, to assist in returning the Lot

within the term stipulated in these Conditions, the Seller

shall be liable for all risks, Expenses and losses of the

Lot when it departs form the site designated by the

Company. Generally, the Company is not responsible

for arrangement of transportation insurance after

departure of the Lot from the site designated thereby

unless the Seller specifically instructs the Company to

do so and pays the insurance premium in advance.The

Company may assist in sending back the Lot to the

Seller upon his request by mailing, express delivery or

third-party transportation. Once the Company delivers

the Lot to the mailing, express delivery or shipping

office or firm or any of its employees or branches, the

Lot shall be considered as having been returned by

the Company and collected by the Seller.

Chapter IV Conditions Concerning the

Bidder and the Buyer

Article 31 Catalogue of Lot

At the auction, the Company will prepare a catalogue

to introduce in brief the status of the Lot with words

and/or pictures for the convenience of Bidders and

Sellers. The words, Estimate and pictures contained in

the catalogue and other images and advertisements of

the Lot are for information only and subject to revision

before auction and shall not constitute any warranty of

the Company in respect of the authenticity, value, tone,

quality and flaw or defect of any Lot.

Article 32 Uncertainty of Catalogue

In case that the tone, color, graduation and shape

shown in catalogue and/or any other illustrations,

images and advertisements differ from those of

the original of the Lot due to print, photograph and

other technical reasons, the original shall apply.Any

statement and appraisal in any form (including but

not limited to the certificate, catalogue, slide show,

news media) of any Lot made by the Company and its

employees or agents are only for reference and shall

not constitute any guarantee for the Lot. The Company

and its employees or agents shall undertake no liability

for any inaccuracy and omission in the statements and

appraisal mentioned above.

Article 33 Inspection by Bidders

The Company shall undertake no guarantee for the

authenticity and/or quality of the Lot. Any Bidder and/or

its agent shall inspect and investigate the actual status

regarding the Lot at his own cost and risk and take

any legal liability for its bidding.The Company strongly

advises the Bidders to inspect the original Lot they

intend to bid for personally or with expert assistance or

using other methods before the Auction Date. Bidders

shall decide on the authenticity and quality of the Lot

at their own cost and risk with reference to, instead

of relying upon, the catalogue and other images and

advertisements of the Lot.

Article 34 Registration of Bidders

To qualify as a Bidder, a natural person shall complete

and sign the registration form and receive a bidding

number before the Auction Date by presenting a valid

identity document, and a legal person or any other

organization shall complete and sign the registration

form and receive a bidding number before the Auction

Date by presenting a valid certificate of registration,

identity certificate of legal representative or valid power

of attorney. The Bidder shall keep the bidding number

in a proper manner. Unless a prior written agreement

is otherwise reached between the Company and the

Bidder, any person who holds the bidding number at

auction shall be considered to be the relevant Bidder

himself/herself.

Article 35 Deposit

The Company will charge a deposit before the Bidder

receives bidding number. The amount of deposit will

be announced before Auction Date. The Company

will refund all the deposit mentioned above without

interest to the Bidder within five business days after

auction in case the Bidder fails in auction. In the event

that the Bidder succeeds at auction, the deposit will

be taken as part of Purchase Price payable by the

Buyer and the balance (if any) will be refunded at the

time of collection. If there is any doubt or uncertainty

concerning the credit standing or ability of any Bidder

to implement any specific performance, the Company

is entitled to ask for relevant proof from the Bidder or

commission any other third party to investigate the said

doubt or uncertainty and charge the said Bidder an

additional deposit. The Company may also charge the

Bidder an additional deposit if the Bidder defaulted or

showed a poor credit standing in any previous auction

held by the Company or any other auction organization.

Failure to pay such additional deposit will entitle the

Company to refuse participation by the said Bidder in

any auction held by the Company.

Article 36 The Company's Option

The Company may at its discretion forbid any one from

participating in any auction held thereby, admission

to the premises or taking a picture or making a video

recording during auction, as the case may be.

Article 37 Abnormal Events

In case of any abnormal events at auction, the

Company may take necessary actions as the case may

be. In the case that any dispute arises at auction, the

CONDITIONS OF BUSINESS

Company may have rights to mediate and settle.

Article 38 Bidding as Principal

Any person who bids shall be deemed as principal,

unless the Bidder presents to the Company a written

certificate showing that it is the agent of a principal and

subject to the Company's approval in writing before

Auction Date.When arranging for bidding, the Bidder's

agent shall present to the Company the original power

of attorney and a copy of the valid identity certificate

of the Bidder and its agent each while the Company

will examine the original of such identity certificate.The

power of attorney issued by a Bidder shall indicate the

name of the agent, authorized items, acting authority

and Period.

Article 39 Commission Bids

The Bidder shall in principle attend the auction

personally; otherwise it may give the Company a

commission in writing or in any other way approved

by the Company to bid on its behalf. The Company

shall have the right but no obligation to accept such

commission.

Article 40 Procedures of Commission Bids

The Bidder who intends to give the Company a

commission to bid on its behalf shall present the

Company with a written authorization certificate and

hand in a deposit in accordance with provisions in

Article 35 hereof within the specified Period (not Later

than 24 hours before Auction Date). Otherwise, the

Company has the right to reject the commission.

Article 41 Cancellation of Commission Bids

The Bidder who entrusts the Company to bid on its

behalf shall inform the Company of cancellation in

writing not Later than 24 hours before Auction Date.

Article 42 Non-liability of Commission Bids

Since the Company charges no fee for bidding on

behalf of the Bidder in the case that the Bidder can not

attend the auction personally, the Company shall not

be liable for any failure in bidding or any negligence or

fault in the commission bids.

Article 43 Principle of Priority

In the event that two or more Bidders entrust the

Company to bid on their behalf for the same Lot and

succeed with the same commission price, the Bidder

whose authorization certificate was first received by the

Company shall be the Buyer of the Lot.

Article 44 Auctioneer's Discretion

The auctioneer is entitled to represent the Company to

increase or decrease the bidding ladder, refuse any

bid, or restart auction in case any dispute arises.

Article 45 Screen of Video Images

At some auctions, there will be a video screen or other

screens in operation for the convenience of Bidders,

which are only for reference. However, there might be

errors on the screen. The Company shall not be liable

for any losses and damages caused by such errors

in amounts, serial number or pictures of the Lot, or

foreign exchange rate.

Article 46 Successful Bid

When the highest bid is confirmed by the auctioneer's

hammer striking or in any other public manner, the

Bidder offering the highest bid shall succeed in the

auction and the sale contract concerning the Lot shall

come into effect immediately. The said highest Bidder

of the lot will be the Buyer of the Lot.

Article 47 Auction Record

The Company will prepare a written record with

respect to the auction signed by the auctioneer and

the recorder.At the auction, for the convenience of

the Buyers' payment and so on, the Buyer shall sign

the purchase confirmation showing the successful bid

after the highest bid is confirmed by the auctioneer's

hammer striking or in any other public manner. Signing

the purchase confirmation is one of the proofs that the

sale contract concerning the Lot has come into effect.

Article 48 Remuneration and Expenses

The Buyer shall pay the Company a remuneration

equal to 15% of Hammer Price and other Expenses

payable by the Buyer hereunder and acknowledge

that the Company is entitled to charge commission

and other costs payable by the Seller under Article 22

hereof.

Article 49 Payment

The Buyer shall make full payments in a lump sum

and collect the Lot (packaging and handling at the

Buyer's expense) within 30 days following the Sale

Date; otherwise the Buyer shall be liable for breach of

contract.

Article 50 Currency

All payments shall be made in the currency designated

by the Company. In the event that the Buyer makes

payments in a currency other than the designated

one, the currency shall be converted at the rate

agreed upon by the Buyer and the Company or at

the rate announced by the People's Bank of China

one(1) business day prior to the payment. The Buyer

shall reimburse the Company for any bank charges,

commission and other Expenses for converting the

currency into RMB.

Article 51 Passing of Title

The Buyer will acquire ownership of the Lot after having

paid Purchase Price in full according to the Agreement

by the Seller and Buyer and picking up the Lot.

Article 52 Transfer of Risks

After a successful bid, any Lot purchased shall

become at the Buyer's sole risk when, whichever is

earlier:

the Buyer collects the Lot purchased; or

the Buyer pays to the Company full Purchase Price for

the Lot; or

it is 4 p.m. of the 30th day after Sale Date (counting

from that day).

Article 53 Collection

The Buyer shall, at the site the Company at its sole

discretion considers appropriate, collect the purchased

Lot no Later than 4 p.m. of the 30th day after Sale

Date (counting from that day) after having made full

payments. In case of failure to do so, the Buyer shall

be solely liable for all risks and losses of the Lot and

bear all Expenses for transportation, storage and

insurance in connection therewith due to delayed

collection. Nevertheless the Lot is still preserved by the

Company or any other agents on behalf of the Buyer,

the Company and its employees or agents shall not be

liable for any losses and damages of the Lot caused

for any reason.

Article 54 Package and Transportation

The Company reserves the right to decide whether

to accept the Buyer's request to arrange packing

and handling service. The Company may arrange

packing and handling of the purchased Lot on behalf

of the Buyer as non-profit services upon its request

at the sole risk and loss of the Buyer. Under no

circumstances shall the Company take any liability

for any damages or losses of glass, frames, drawer,

bottom mat, trestle, mounting, insert pages, roller or

other similar accessories arising out of any reason. In

the case that the Buyer requires the Company to assist

in sending the purchased Lot by mailing, express

delivery or any other shipping way (with packing,

mailing and transportation at the cost of the Buyer),

once the Company does so in that way, the Lot shall

be considered as having been received by the Buyer

in normal procedure. The Buyer shall be liable for all

risks during the foregoing process. The Company is

not responsible for arrangement of shipping insurance,

unless the Buyer specifically instructs the Company to

do so and bears the insurance premium. In addition,

the Company shall undertake no liability for any

fault, omissions, damages and losses caused by the

packers or carriers the Company recommended or the

Buyer designated.

Article 55 Export of Lot

The Company will, to the best of its knowledge,

identify in catalogue or at auction any Lot prohibited

to be exported under the Law of the People's

Republic of China on Protection of Cultural Relics

and other relevant laws and regulations. The Buyer

shall be responsible for applying for export license in

accordance with Chinese laws for the Lot permitted

to be exported pursuant to the Law of the People's

Republic of China on Protection of Cultural Relics and

other relevant laws and regulations.

Article 56 Remedies for Non-payment

In the case that the Buyer fails to make full payment

within the Period provided in Article 48 hereof, the

Company shall be entitled to exercise one or more of

the following remedies:

Commence lawsuit, arbitration or other dispute

resolution proceedings against the Buyer to request for

payment obligations;

Cancel the sale contract and pursue the corresponding

legal liability of the Buyer in accordance with the

provisions of relevant laws and regulations and these

Conditions;

Withhold the deposit and hold the Buyer liable in

accordance with these Conditions;

Charge the Buyer an interest at a rate of three tenthousandths per day on the due and unpaid amount

or the Storage Fee of three hundands RMB per day for

each Lot until such payment is made fully, (the higher

price will be applied) to the extent it remains unpaid

fully for more than 30 days after Sale Date, unless

otherwise agreed by the Buyer and the Company;

Commence lawsuit, arbitration or other dispute

resolution proceedings against the Buyer for any

damages caused by the Buyer's breach of contract,

including but not limited to the losses of interest on

deferred or unpaid payment by the Buyer and the

attorney fee;

Exercise a lien on the purchased Lot or other

properties of the Buyer which may be in the Company's

possession for any reason. The Buyer is liable for all

Expenses and/or risks incurred during the Period of

lien. In case the Buyer fails to perform all relevant

obligations hereunder within the specified Period,

the Company shall have the right to dispose of

such property in accordance with relevant laws and

regulations of China. In case the proceeds cannot

cover the amount outstanding, the Company is entitled

to claim for the balance;

Within 60 days after the Sale Date (counting from that

day), If the Buyer does not pay off the full price of

the Lot, the Seller has rights to cancel the sale of the

Lot and any other Lot sold to the same Buyer at this

auction or at any other auctions and reserve the right to

claim for the losses caused by the cancellation;

Resell the Lot by auction or other ways in accordance

with these Conditions, subject to consent of the Seller.

The original Buyer shall be liable to the Company for

the remuneration/commission and other Expenses

incurred at such auction as well as all Expenses for

resale by auction or otherwise. In addition, the original

Buyer shall also be liable for the shortfall together with

all costs, in the event such resale is for less than the

original Purchase Price and Buyer's Expenses for the

Lot;

Other appropriate measures.

Article 57 Remedies for Deferred Collection

In case the Buyer fails to collect the purchased Lot

within the Period provided in Article 49 hereof, the

Company shall be entitled to exercise one or more of

the following remedies:

Arrange storage of the Lot at the Company or any other

place at Buyer's risk and/or Expenses. The Buyer shall

pay the Lot storage fee equal to 0.3‰ of the Hammer

Price of the Lot per day or 300 RMB per day for each

Lot (higher price will be applied) from the 31th day

following Sale Date to the actual collection day and the

insurance premium equal to 1% of the Hammer Price

of the Lot. The Buyer shall not collect the Lot unless the

Purchase Price and relevant Expenses are paid in full

(package and transportation at the Buyer's expense);

Exercise a lien on the purchased Lot. After 90 days of

delayed collection by the Buyer, the Company may,

as the case may be, dispose of such Lot and use the

proceeds to compensate for the amount outstanding

owed to the Company including but not limited to

storage, insurance and transportation costs;

Take the purchased Lot and deposit it at a takeand-deposit institution. The cost caused by the takeand-deposit shall be borne by the Buyer. All matters

concerning such take-and-deposit shall be subject to

applicable laws and regulations of China.

Chapter V Miscellaneous

Article 58 Confidentiality

The Company shall be obligated to maintain the

confidentiality of any information provided to it by

Seller, Bidder and Buyer and indemnify and hold

Seller, Bidder, Buyer and the Company harmless from

and against any damages to their legitimate rights

and interests in accordance with relevant laws and

regulations of the People's Republic of China and

these Conditions.

Article 59 Identification

The Company may identify or reidentify the Lot as it

deems necessary at the Company's own discretion

at any time (including but not limited after the delivery

of the Lot to the Buyer, the payment of Proceeds of

Sale to the Seller from the Company) after entering

into the consignment contract with the Seller. The

identification items may include its maker, date, name,

type, material, condition, flaw and size. In case of any

discrepancy with respect to the status of such Lot

between the identification results and the consignment

contract, or the damage to the Company's reputation,

the Company shall be entitled to terminate or modify

the consignment contract. In the case that the

consignment contract has been fulfilled, the Seller

should return the Proceeds of Sale to the Company.

The Seller shall assume compensation liability

according to the rules for any violation of warranties in

Article 9.

Article 60 Copyright

The Company shall be entitled to take photographs,

make illustrations or produce catalogues or other

images relating to the Lot consigned to the Company

for auction and shall have the copyright in such

photographs, illustrations, catalogues or other images

mentioned above.

Article 61 Exemption

The Company shall undertake no liability for any

breach of contract by the Buyer or the Seller. The

Company may at its sole discretion disclose the name

and address of the Buyer or the Seller to the other party

to enable that party to commence legal proceedings

to recover the losses, provided that, prior to such

disclosure, the Company takes reasonable steps to

notify the party whose information will be so disclosed.

Article 62 Liability for Impairing the Company's Reputation

The Seller shall not take any legal proceedings against

the Auctioneer in terms of its honesty and business

reputation without definite evidence nor otherwise

behave in a way harmful to its business reputation

(including but not limited to the identity of the Lot

returned and the impartiality of identification results

of the Lot); otherwise the Auctioneer may demand

indemnity from the Seller for the loss of business

reputation and all Expenses arising therefrom. Such

indemnity shall be in the same amount as the reserve of

the Lot. Without any definite evidence, the Buyer shall

not make any groundless or irresponsible comment

on the authenticity of the sold Lot or take any legal

proceedings against the identity of the Lot delivered

by the Company to the Buyer nor behave in any

manner harmful to the Company's business reputation;

otherwise the Company shall have the right to demand

official apology and indemnity from the Buyer for the

loss of business reputation and all Expenses arising

therefrom. Such indemnity shall be in the same amount

as the Reserve of the Lot. Without definite evidence,

any other persons (including but not limited to the

Bidder) shall not make any groundless or irresponsible

comment on the authenticity of the sold Lot or behave

in any manner harmful to the Company's business

reputation; otherwise the Company shall have the

right to demand official apology and indemnity from

such persons for the loss of business reputation and all

Expenses arising therefrom. Such indemnity shall be in

the same amount as the Reserve of the Lot.

Article 63 Notice

Both the Bidder and the Seller shall notify the Company

of their valid and regular contact information. Any

change in such contact information shall be notified in

writing to the Company as soon as possible. All notices

referred to in these Conditions shall be in writing and

delivered by mail or fax. A notice sent by mail shall be

deemed to have been delivered and received by the

addressee via normal mail service on the date when

the Company gives the notice to the post office. A

notice sent by fax shall be deemed to be received on

the date when it is faxed.

Article 64 Severability

Rights and obligations of parties participating in an

auction held by the Company shall be subject to these

Conditions. If any provision or part of these Conditions

is deemed invalid, unlawful or unenforceable by

a competent agency, these Conditions shall be

ineffective to the extent of such unlawfulness or

unenforceability without invalidating or affecting the

validity or enforceability of the remaining provisions of

these Conditions.In case of any discrepancy between

these Conditions and any relevant law or regulation

currently in force, these Conditions shall prevail if

they do not violate any prohibitive provisions of such

laws and regulations. Any matters not covered by

these Conditions shall be governed by existing laws

and regulations applicable thereto, if any, or subject

to domestic or international trade practices if such

matters are not covered by these Conditions or any

existing laws or regulations.

Article 65 Dispute Resolution

Any dispute arising between parties participating in an

auction held by the Company under these Conditions

shall be referred to a Chinese court whose jurisdiction

covers the business address of the Company, unless

the parties have agreed otherwise. Such disputes shall

be governed by the laws of the People's Republic of

China.

Article 66 Language

These Conditions are written in Chinese and English.

The English version is only for reference. In case of

any discrepancy between Chinese version and English

version, the Chinese, as the official version, shall

prevail.

The price of the Lot in this catalog is subject to its RMB

price, the foreign currency price is for your reference

only.

Article 67 Date of Effectiveness

These Conditions shall be effective as from June 1st,

2020.

Article 68 Right to Interpret

The Company has the right to interpret these

Conditions at its own discretion.

Headings are used in these Conditions for the

convenience of the parties only and shall not be

incorporated into these Conditions and shall not be

deemed to be any indication of the meaning of the

clauses.

聲明：

茲申請并委托本公司就以下拍品及價格進行競買，

并承諾接受如下條款：

一、委托人承認并愿意遵守本公司本次拍賣會的《拍賣

規(guī)則》之各項條款。若競買成功，須同時繳納成交

價款15%的傭金。

二、為使委托人的委托出價得以接受而不延誤，委托人

須最遲在拍賣日前三天向本公司提供有關(guān)資質(zhì)信證

明，繳納辦理競買號牌所需保證金，并預(yù)付表內(nèi)所
